Case Study – Acquisition of two nursery settings
We recently acted on the share acquisition of a limited company comprising of two nursery settings in prominent locations. The previous owner wanted to retire from the childcare sector as our client is seeking to build a portfolio of settings.
We undertook all legal due diligence on the business, as well as negotiated a long lease of one of the settings and the acquisition of the freehold of the other setting.
An essential element of the transaction was to ensure that our client had suitable protection for the OFSTED transitional arrangements (including change to the “nominated individual”).
We project-managed the transaction from the start to a successful conclusion – our client is delighted with the outcome.
